Terms of Service

Agreement governing use of the DealMate platform. Includes Lead Protection (non-disclosure & non-circumvention). Effective upon electronic acceptance.

By creating an account, clicking “I Agree,” or otherwise accessing the DealMate platform, you (“User”) agree to the following terms with DealMate INC., a Pennsylvania corporation (“DealMate”).

1. Purpose

DealMate provides access to confidential, proprietary, and non-public real estate information, including property details, seller and buyer information, pricing, leads, and deal opportunities (collectively, “Confidential Information”).

2. Confidentiality

User agrees to keep all Confidential Information strictly confidential and to use it solely for evaluating potential transactions through the DealMate platform.

User shall not disclose, distribute, copy, publish, or otherwise share Confidential Information with any third party without DealMate’s prior written consent.

3. Non-Circumvention

User agrees not to directly or indirectly contact, negotiate with, or transact with any property owner, seller, buyer, agent, broker, or lead introduced through DealMate outside of the DealMate platform.

Any attempt to bypass, avoid, or circumvent DealMate in connection with a transaction constitutes a material breach of this Agreement.

4. Limited Use for Licensed Agents

If User is a licensed real estate agent, Confidential Information may be shared only with a specific, active client for the sole purpose of evaluating a potential transaction.

User may not publicly market, repost, distribute, or share DealMate opportunities with other agents, brokerages, or third parties.

5. Non-Solicitation

User agrees not to solicit, hire, engage, or otherwise interfere with DealMate’s employees, contractors, partners, or lead sources for purposes related to competing transactions or circumvention.

6. Account Suspension & Termination

DealMate reserves the right, in its sole discretion, to immediately suspend or permanently terminate any User account for violation of this Agreement, with or without notice, and without refund of any fees paid. Termination does not limit DealMate’s right to pursue legal or equitable remedies.

7. Remedies & Liquidated Damages

User acknowledges that unauthorized disclosure or circumvention causes irreparable harm. In the event of breach, DealMate is entitled to injunctive relief and liquidated damages of $10,000 per violation, in addition to attorneys’ fees and other legal remedies.

8. Binding Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration conducted in Allegheny County, Pennsylvania, in accordance with the rules of the American Arbitration Association. User waives the right to participate in any class action or jury trial.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

10. Electronic Acceptance & Enforceability

By clicking “I Agree,” creating an account, or accessing DealMate’s services, User acknowledges that this Agreement has been read and understood, is legally binding, and is enforceable as a signed written contract. Electronic acceptance shall have the same legal effect as a handwritten signature.
